Terms of Use — Speakroom

These Terms of Use ("Terms") govern your use of Speakroom, operated by Code Bakery BV, incorporated in Belgium ("Speakroom," "we," "us," or "our").

By accessing or using Speakroom, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Speakroom is an AI-assisted language practice service. The Service may include:

AI conversation practice
voice-based tutoring sessions
text-based tutoring sessions
translation practice
session transcripts
replay audio
AI-generated tutor responses
AI-generated feedback, corrections, and coach notes
Review history
credit-based access to interactions

Speakroom is for personal, informal language practice. It is not a school, university, certification provider, immigration adviser, employment adviser, medical adviser, legal adviser, or substitute for a human teacher.

2. Eligibility

You must be at least 18 years old to use Speakroom.

By using Speakroom, you represent that:

you are at least 18 years old;
you can enter into a binding agreement;
your use of the Service complies with applicable law; and
you are not prohibited from using the Service under applicable law.

3. Accounts

You need an account to use the app.

Authentication is provided through WorkOS. You are responsible for:

keeping your account secure;
using accurate account information;
not sharing account access with others; and
notifying us if you suspect unauthorized access.

You are responsible for activity that occurs under your account, except where caused by our breach of these Terms or applicable law.

4. AI-generated content

Speakroom uses artificial intelligence to generate tutor responses, translations, transcripts, corrections, feedback, summaries, and coach notes.

You understand that:

you are interacting with AI software, not a human tutor;
AI output may be inaccurate, incomplete, inappropriate, or unexpected;
transcripts may contain mistakes;
translations may be incorrect;
pronunciation and grammar feedback may be imperfect;
tutor responses may not reflect expert human judgment; and
Speakroom does not guarantee fluency, exam results, learning outcomes, or certification.

You should use Speakroom as a practice aid, not as your only source of truth.

5. No high-stakes use

You may not use Speakroom as a formal or high-stakes decision tool.

Speakroom is not designed or authorized for:

formal educational assessment;
grading;
admission decisions;
certification;
language exam scoring;
immigration decisions;
employment decisions;
medical, legal, financial, or professional advice;
emergency use; or
evaluating another person's eligibility, rights, or opportunities.

You may not present Speakroom output as an official translation, credential, certificate, or human expert assessment.

6. Voice, audio, and recording

Speakroom is voice-first. When you use microphone features:

your microphone audio is transmitted to Speakroom;
audio may be sent to AI providers such as Google Gemini or OpenAI to provide the Service;
Speakroom stores replay audio so you can listen to sessions again;
Speakroom stores transcripts and AI feedback for Review; and
tutor response audio may also be stored for replay.

You are responsible for using voice features lawfully.

Do not record, upload, or submit another person's voice or conversation unless you have all required rights and consents under applicable law.

You may not use Speakroom to:

impersonate someone;
create deceptive audio;
violate privacy or recording laws;
upload confidential third-party conversations without permission; or
generate harmful, abusive, or misleading content.

7. Your content

"User Content" means content you submit to Speakroom, including text, audio, prompts, messages, speech, transcripts created from your speech, and support messages.

You retain ownership of your User Content.

You grant Speakroom a limited, worldwide, non-exclusive license to host, store, transmit, reproduce, process, transform, display, and use your User Content only as needed to:

provide the Service;
generate AI tutor responses and feedback;
create transcripts and replay audio;
maintain Review history;
secure and debug the Service;
respond to support requests;
enforce these Terms; and
comply with law.

Speakroom does not train AI models on your User Content.

8. AI providers and third-party services

Speakroom depends on third-party services, including:

WorkOS for authentication;
Stripe for payments;
Google Gemini / Google AI for AI processing;
OpenAI for AI processing;
Hetzner for hosting;
Cloudflare R2 or equivalent storage for replay audio; and
other infrastructure or support providers as needed.

Third-party services may have their own terms and privacy policies, for example when you use hosted sign-in or Stripe Checkout. Our use of third-party providers does not limit any mandatory rights you have against Speakroom under applicable consumer, digital-service, or data protection law.

Availability of AI models and third-party services may change. We may change providers, models, voices, or features for valid product, security, reliability, legal, or operational reasons, provided we continue to handle your data as described in our Privacy Policy and respect your mandatory rights. Where a material change negatively affects a paid feature or unused paid credits, we will provide notice or a remedy where required by law.

We configure our production AI provider API use so that, under the applicable provider terms and settings, your prompts, audio, transcripts, and AI responses are not used to train or improve the providers' general AI models. Provider systems may still process or temporarily retain data as needed to provide the Service, maintain safety and security, prevent abuse, ensure reliability, debug issues, or comply with law, as described in our Privacy Policy.

9. Credits and payments

Speakroom uses credits for paid usage.

An "interaction" generally means something you say, type, or request from Speakroom that causes the Service to process a tutoring or translation turn. Reviewing past sessions is free at launch. If this changes, we will tell you before charging for Review.

We may offer free credits, paid credit packs, or promotional credits.

At launch, signing up includes 50 free interactions without a payment card.

Credit packs

Credit packs are one-time purchases processed through Stripe. At launch, Speakroom does not offer subscriptions or recurring charges unless we clearly state otherwise before checkout.

At launch, Speakroom may offer fixed packs such as:

50 interactions
300 interactions
1000 interactions

Available packs, prices, and currencies are shown before checkout.

Credit expiration

Credits expire 24 months after they are granted or purchased, unless we clearly state a different period before or when we grant promotional credits.

We show available credit balances and applicable expiration information in the Service. Expired credits have no cash value and cannot be used.

No cash value

Credits are not money, stored value, or a bank account. Credits:

are not transferable;
are not redeemable for cash;
may only be used within Speakroom; and
may be revoked for fraud, chargeback abuse, or violation of these Terms.

Taxes

For consumers, prices displayed before checkout are the total prices payable, including VAT or other taxes where required by law. Stripe may calculate, collect, and display applicable tax and payment details during Checkout.

Refunds

Credit packs are one-time purchases. If your payment is successful, credits are normally delivered to your account after Stripe confirms payment to Speakroom. A return from Stripe Checkout is not, by itself, proof that credits have been granted.

If you are a consumer in the European Union or another jurisdiction with mandatory withdrawal, refund, or digital-service rights, nothing in these Terms limits those rights.

Where permitted by law, if you expressly request immediate supply of a credit pack during a withdrawal period, we may make the credits available immediately after Stripe confirms payment. If you withdraw within the withdrawal period, our launch policy is to refund the unused part of the purchased credit pack. Credits already used for AI interactions are not refundable because those interactions have already been supplied at your request.

This does not affect your mandatory rights if the Service is not supplied or does not conform to the contract.

10. Acceptable use

You agree not to:

break the law;
violate another person's rights;
submit content you do not have the right to submit;
harass, threaten, abuse, or harm others;
submit sexual, exploitative, hateful, or violent content;
submit, create, or request child sexual abuse material, sexual exploitation of minors, or content that sexualizes minors;
submit, create, or request non-consensual intimate, deceptive, or impersonating audio;
use Speakroom to generate deception, fraud, spam, or impersonation;
use Speakroom to cheat on exams or misrepresent your abilities;
reverse engineer, scrape, crawl, overload, or attack the Service;
bypass safety, rate-limit, billing, or access controls;
share your account;
resell or commercially exploit the Service without permission;
upload malware or harmful code;
attempt to access another user's data; or
use Speakroom for formal grading, certification, employment, immigration, credit, or other high-stakes decisions.

We may suspend or terminate accounts that violate these Terms.

11. Account and session deletion

You can delete ended or abandoned tutoring sessions from Review. Active sessions must be ended before they can be deleted. Deleting a session deletes the session transcript, AI feedback, evaluation records, and replay audio for that session. Credits are not refunded or recalculated when you delete a session.

You can delete your account from Settings. Account deletion deletes or anonymizes account/product data as described in our Privacy Policy.

We may retain billing, tax, accounting, fraud-prevention, audit, and legal records where required or permitted by law.

12. Service changes and availability

We may modify, suspend, or discontinue parts of the Service for valid product, security, reliability, legal, or operational reasons. Where practical, we will provide notice before material changes that negatively affect paid features. If we discontinue a paid feature while you have unused paid credits, we will handle unused paid credits as required by applicable law.

We do not guarantee that:

the Service will always be available;
AI providers will always respond;
transcripts will always be correct;
replay audio will always be available;
every feature will remain available forever; or
Speakroom will support every language, voice, or model indefinitely.

We will try to avoid unnecessary disruption, but maintenance, outages, rate limits, provider failures, or security issues may affect the Service.

13. Intellectual property

Speakroom, including its software, design, branding, website, app, prompts, interfaces, logos, and content, is owned by Code Bakery BV or its licensors.

These Terms do not transfer any ownership rights to you.

You may use Speakroom only as allowed by these Terms.

Subject to these Terms, you may use AI outputs generated for your account for personal, non-commercial language practice. Speakroom and its providers may generate similar or identical outputs for other users.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Speakroom unless permitted by law or by written permission from us.

14. Feedback

If you send us feedback, suggestions, ideas, or bug reports, you allow us to use them without restriction or compensation to you. This does not give us ownership of your personal data or User Content.

15. Privacy

Our Privacy Policy explains how we collect, use, store, and share personal data.

By using Speakroom, you acknowledge the Privacy Policy.

16. Suspension and termination

We may suspend or terminate your access if:

you violate these Terms;
your payment is fraudulent, reversed, or disputed;
your use creates security, legal, or operational risk;
we are required to do so by law;
your account appears compromised; or
you misuse AI, audio, billing, or account systems.

You may stop using Speakroom at any time and may delete your account from Settings.

Termination does not affect provisions that by their nature should survive, including payment obligations, intellectual property, disclaimers, limitations of liability, retained records, and dispute provisions.

17. Disclaimers

To the maximum extent permitted by law, Speakroom is provided "as is" and "as available."

We disclaim warranties of:

uninterrupted availability;
error-free operation;
accuracy;
fitness for a particular purpose;
merchantability;
non-infringement;
guaranteed learning outcomes;
guaranteed fluency;
exam success; and
certification readiness.

Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you. If you are a consumer, these disclaimers do not limit mandatory rights you may have for digital content or digital services that are not supplied or do not conform to the contract.

18. Limitation of liability

To the maximum extent permitted by law, Code Bakery BV and its owners, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunity.

To the maximum extent permitted by law, our total liability for claims relating to the Service is limited to the amount you paid to Speakroom in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, intentional misconduct, or liability that mandatory consumer law does not permit us to exclude.

19. Indemnity

If you use Speakroom unlawfully, materially violate these Terms, or submit content that infringes another person's rights, you agree to indemnify and hold harmless Code Bakery BV from reasonable claims, losses, liabilities, damages, costs, and expenses directly arising from that conduct, to the extent permitted by law.

This section does not apply where prohibited by consumer protection law.

20. Consumer rights

If you are a consumer, you may have mandatory rights under Belgian, EU, or other applicable consumer protection laws. Nothing in these Terms limits rights that cannot be waived by contract.

If you are a consumer, mandatory rules for digital content and digital services may give you rights if the Service is not supplied or does not conform to the contract, including having the Service brought into conformity, receiving a proportionate price reduction, terminating the contract, or receiving a refund where required by law.

21. Governing law and courts

These Terms are governed by the laws of Belgium, except where mandatory consumer protection laws require otherwise.

If you are a consumer in the European Union, you may have the right to bring claims in your country of residence under mandatory consumer laws.

Otherwise, disputes will be handled by the competent courts in Belgium.

22. Changes to these Terms

We may update these Terms from time to time.

If changes are material, we will provide reasonable notice, such as through the Service or by email where appropriate.

If you continue using Speakroom after updated Terms take effect, you agree to the updated Terms. Where required by law or where a change materially affects your rights, paid credits, or key data terms, we may ask for renewed acceptance or provide another appropriate remedy. If you do not agree, stop using the Service and delete your account.
